Please read these Terms of Service ("Terms") carefully before using the Ridelytics mobile application (the "App") operated by NC Digital Pods Inc. ("we," "our," or "us").
By downloading, installing, or using the App, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using Ridelytics, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the App.
2. Definitions
"Rideshare App" refers to third-party driver applications for rideshare and delivery platforms, including but not limited to Uber Driver, Lyft Driver, Bolt Driver, InDrive, and similar applications.
3. Description of Service
Ridelytics is a utility application designed to help rideshare drivers analyze ride offer profitability. The App:
- Displays estimated hourly wage calculations for ride offers
- Shows profitability indicators based on your preferences
- Operates independently and is not affiliated with any rideshare company
What Ridelytics Is NOT
- Ridelytics is NOT an official rideshare application
- Ridelytics does NOT guarantee earnings or profitability
- Ridelytics does NOT modify or interact with any Rideshare App
- Ridelytics is NOT affiliated with, endorsed by, or sponsored by Uber Technologies, Inc., Lyft, Inc., or any rideshare company
4. Eligibility
To use Ridelytics, you must:
- Be at least 18 years old
- Be a licensed rideshare driver or have legitimate interest in rideshare driving
- Have a compatible Android device
- Comply with all applicable laws and regulations
5. User Responsibilities
5.1 Safe Driving
Your safety is paramount. You agree to:
- NEVER interact with Ridelytics while driving
- Only review ride offer analysis when safely parked
- Follow all traffic laws and safe driving practices
- Not rely solely on Ridelytics for driving decisions
5.2 Compliance with Rideshare Terms
You are responsible for complying with the terms of service of any rideshare platform you use. Ridelytics is a third-party tool, and its use is at your own discretion.
5.3 Accurate Settings
You are responsible for entering accurate cost and preference settings. Ridelytics's calculations are based on the information you provide.
6. Accessibility Service Permission
Ridelytics requires Android Accessibility Service permission to function. By granting this permission, you acknowledge that:
- The App will monitor screen content from supported Rideshare Apps
- All processing occurs locally on your device
- You can revoke this permission at any time in Android Settings
7. Intellectual Property
7.1 Our Rights
Ridelytics, including its design, features, and content, is owned by NC Digital Pods Inc. and protected by intellectual property laws.
7.2 Your License
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.
7.3 Restrictions
You may not:
- Copy, modify, or distribute the App
- Reverse engineer or decompile the App
- Use the App for any unlawful purpose
- Remove any proprietary notices from the App
8. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We do not warrant that:
- The App will be error-free or uninterrupted
- Calculations will be accurate in all circumstances
- The App will be compatible with all devices or rideshare app versions
- The App will meet your specific requirements
Calculation Accuracy
Ridelytics's wage calculations are estimates based on:
- Information displayed on your screen
- Settings you configure
- Optical character recognition (which may have errors)
Do not rely solely on Ridelytics for financial decisions.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NC DIGITAL PODS INC. SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, earnings, or revenue
- Loss of data or business interruption
- Any damages arising from your use or inability to use the App
Our total liability shall not exceed the amount you paid for the App (if any).
10. Indemnification
You agree to indemnify and hold harmless NC Digital Pods Inc. from any claims, damages, or expenses arising from:
- Your use of the App
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of any applicable laws
11. Third-Party Services
Ridelytics is designed to work alongside Rideshare Apps. We are not responsible for:
- Changes to Rideshare Apps that affect Ridelytics functionality
- Any actions taken by rideshare companies
- The terms, policies, or practices of any third-party service
Trademarks
Uber, Lyft, Bolt, InDrive, and their respective logos are trademarks of their respective owners. Ridelytics is not affiliated with any rideshare company. All trademarks are the property of their respective owners.
12. Updates and Changes
12.1 App Updates
We may update the App from time to time. Updates may be required for continued use.
12.2 Terms Updates
We may modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the new Terms.
13. Termination
13.1 By You
You may stop using the App and uninstall it at any time.
13.2 By Us
We may terminate or suspend your access to the App at any time, without notice, for any reason.
13.3 Effect of Termination
Upon termination, your license to use the App ends. Sections 8, 9, 10, and 14 survive termination.
14. General Provisions
14.1 Governing Law
These Terms are governed by the laws of Canada, without regard to conflict of law principles.
14.2 Dispute Resolution
Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration, except where prohibited by law.
14.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
14.4 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and NC Digital Pods Inc. regarding the App.
14.5 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver.
